Terms of Service

These Terms of Service govern your access to and use of the QureSetu Hospital Management System and related services provided by Quantum Webframe. Please read them carefully before subscribing.

1. Agreement to Terms

By accessing or using QureSetu ("the Service"), operated by Quantum Webframe ("Company," "we," "us," or "our"), the hospital, clinic, or medical facility ("Subscriber," "you") agrees to be bound by these Terms of Service. If you are entering into this agreement on behalf of a hospital or healthcare organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

QureSetu is a cloud-based Hospital Management System (HMS) providing integrated modules for OPD registration, IPD management, pharmacy, laboratory, radiology, surgical OT scheduling, billing, financial reporting, and ABDM/ABHA compliance. The Service operates on a subscription model based on bed capacity tiers.

3. Subscription & Payment

• Subscriptions are offered on a monthly or annual billing cycle. • Annual plans include a 15% discount versus equivalent monthly pricing. • All prices are in Indian Rupees (INR) and subject to applicable GST at prevailing rates. • Subscriptions auto-renew unless cancelled at least 7 days before the next billing cycle. • Failure to pay within 7 days of due date may result in temporary service suspension. Data remains intact during suspension for up to 30 days. • No refunds are issued for mid-cycle cancellations of monthly plans. Annual plans may receive a pro-rated credit at the Company's discretion.

4. Permitted Use

The Subscriber may use QureSetu solely for internal hospital operations at registered facilities. Prohibited uses include: • Sublicensing, reselling, or providing the Service to third parties as a white-label product. • Attempting to reverse-engineer, decompile, or extract source code. • Using the Service to store non-medical commercial data unrelated to patient care. • Interfering with or disrupting the Service or shared infrastructure.

5. Patient Data Responsibility

The Subscriber (hospital) is the Data Fiduciary for all patient health records stored in QureSetu under India's DPDP Act, 2023. The Subscriber is responsible for: • Obtaining lawful patient consent for digital health record creation and sharing. • Training clinical and administrative staff on appropriate data access practices. • Notifying QureSetu promptly of any suspected data breach originating from the Subscriber's end. • Complying with applicable Indian medical records retention regulations (MCI, NMC guidelines). QureSetu acts as a Data Processor and provides the technical tools to help Subscribers fulfill their legal obligations. QureSetu is not liable for Subscriber's failure to comply with DPDP or other healthcare regulations.

6. Service Availability & SLA

• QureSetu targets 99.5% monthly uptime for cloud-dependent features. • The PowerSync offline engine provides local continuity during internet disruptions, which does not constitute downtime under this SLA. • Planned maintenance windows will be communicated 48 hours in advance. • Outages caused by Subscriber's infrastructure (local network, hardware, power) are excluded from SLA calculations.

7. Intellectual Property

All software, algorithms, user interface designs, clinical workflow logic, and documentation comprising QureSetu are the exclusive intellectual property of Quantum Webframe. Subscribers are granted a limited, non-exclusive, non-transferable license to use the Service during the active subscription period. Patient data and hospital operational data uploaded by Subscribers remains the exclusive property of the Subscriber.

8. Limitation of Liability

To the maximum extent permitted by applicable Indian law: • The Company's total cumulative liability shall not exceed the amounts paid by the Subscriber in the preceding 3 months. • The Company shall not be liable for indirect, incidental, consequential, or punitive damages including loss of revenue, loss of patient records (beyond what our backup systems protect), or business interruption arising from use or inability to use the Service. • Clinical decisions made by hospital staff based on information in QureSetu remain the sole medical and legal responsibility of the treating healthcare professional.

9. Termination

Either party may terminate this agreement with 30 days written notice. The Company may terminate immediately for material breach, non-payment, or misuse of the Service. Upon termination, the Subscriber may request a full data export in standard formats (CSV/JSON) within 30 days. After 30 days, data may be permanently deleted.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of competent courts in India.

11. Changes to Terms

The Company reserves the right to modify these Terms at any time. Material changes will be notified via email to the registered hospital administrator at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
